Is this build worth the price?

Current rig:

mobo: MSI K8N Neo2 Platinum
CPU: AMD Athlon64 3000+ S939
CPU cooler: Thermalright XP-90
RAM: 2x512MB Infineon 3-3-3-8
video card: Leadtek A6600GT 128MB + Zalman VF-700Cu cooler
PSU: CoolerMaster RealPower 450W
case: Casetek 1026-9
HDD: Samsung Spinpoint F1 SATA 7200 rpm 750 GB, 32 MB cache (HD753LJ)
optical: Samsung SH-S203D

Except for HDD and optical, rig is 4 years old second hand (was used for gaming primarily), I use it for work + occasional gaming, movies and music (some recording and editing as well). I'm wondering if the parts below are worth upgrading to:

mobo: ASUS P5B-E
CPU: Intel Pentium Dual Core 945 (3,4Ghz)
video card: Galaxy Geforce 9400 GT (brand new, boxed)
memory: Kingston 2GB (brand new)
optical: Asus SATA2-es lightscribe

At the current exchange rate it would cost me about 180 USD. Parts are second hand but still covered by warranty. I might pass on the optical drive. As I said, it would be used for light gaming, mainly work, downloads, movies and music.

I don't know if counts for anything, but I currently have WinXP, planning to switch to Ubuntu dual-boot.

Any input is appreciated.
 
a) Going from the 6600GT to the 9400GT will be a significant upgrade.
b) Going with that old Pentium D isn't great, but it's apparently part of the package.
c) Good mobo, it will support Core2Duo if you go that route later. Note that it won't support Core2Quad.
d) Yeah, definitely pass on the optical.
e) Going with 4GB of RAM only costs a few dollars more than 2GB after rebates.

If that XP disc is also four+ years old, be sure to install the latest service pack BEFORE you connect the machine to the Internet.
