The mobo is MSI K9A2 Platinum AM2+ which is AM3 compatible.
Does the bigger cache and hyper transport make that big of a difference?

its a quad core, and about 15-20% IPC for each core. Depends on what you are doing as to whether its a big upgrade. If you can use all 4 cores, then its more than twice the speed, otherwise its incremental.

I could be low on the IPC , but still wouldn't be bigger than 30%

Whether or not it's a huge upgrade and if it will make a huge difference depends entirely on what you do with it. If you use it for casual computer use, like web content, media, etc, it won't make a difference. If you use it for video compilation encoding, code compiling, folding, workstation, etc, then yes it will make a monstrous difference. And if you use it for high end gaming, requiring it be paired with a good GPU and a high resolution display (ie, at least 1080p), then yes, it will make a significant difference.

I had an Athlon X2 6000+ (90nm Windsor), and upgraded to a Phenom II X4 @ 3.2Ghz. I saw a pretty huge performance boost in multitasking situations, photo processing, and gaming. Though for me it was a platform upgrade, so AM3 motherboard + DDR3 RAM. But even with AM2+ and DDR2 there should be a substantial performance gain from a 6000+ to a 945. Even clock for clock, core for core, Phenom II is faster than the old Athlon X2s due to the improved architecture.
