Same OS but the license agreement if different for OEM over the retail licenses. With OEM the OS has to stay with the machine it was installed on and is not transferable to another machine down the road and you must place COA sticker to the machine to be in compliance with the EULA agreement.

Also with the OEM version you can not do an upgrade install, just a fresh install.
