The Oem in around $50 cheaper. For that price I would buy my own, but with retail you get a warranty and that nice gray box.

well, what do you really mean by good? one thing it will guarantee you is that it will do its job 100% guaranteed. if not, that's where the warranty comes in. :) so is it good? absolutely. the best? anything but that.

Well, in that case...it would probably to be better with the warranty, because if the heatsink and fan don't do their job...then i get a new processor...but then again, if i got a really good heatsink and fan, it might not even break at all...

Just in case i decide to buy my own heatsink and fan instead, what would you suggest?

Not to be a prick or anything but if you have no idea about differences between stock cooling and aftermarket cooling, why are you getting an FX55? That processor is primarily aimed at enthusiasts and overclockers (unlockable multiplier). Sure it is the fastest on the block, but you could save yourself $$ by going with 4000+ or better yet 3800+ or best yet 3500+ (and save tons of $$). If you still insist on FX55, why not wait for FX57 which is just around the corner?

Well im actually planning on waiting for the FX-57 to come out, so the price of the FX-55 will drop...i do not plan on overclocking it right off the bat...but i know that it will last me a lot longer, and in the near future, i will be able to overclock it, and still have a top of the line cpu...i was considering the 4000+ but i think im going to go all out on this one...and not to sound like a prick either, but to me, that 3500+ seems like a piece of sht...

Also, i would not get the 3800+, because i want that 1MB of L2 Cache...it really makes a difference...

The fan is good. it should lead you as far as the chip would probably be able to co. i see no point changing coolers unless you need a very quiet system. it i s decent but not awesome, but does it's job up ot around 2.9~30. ghz.

Well the best scenario i think is...i can buy the retail, get a warranty, and have a heatsink and fan...and i know it is guarenteed to do its job...if i feel it is too loud, then i can buy a better quality heatsink and fan down the road...
