Is my motherboard or CPU bad?

I just got my Abit KX7-333R back from their RMA service today and they said they would send me a brand new one and they did. I plugged it in and I put my Athlon XP 2000+ in and booted and it didn't work. The orange and green LEDs on the motherboard stay lit and the red LED emits a flash and at the same time the case speaker emits a little 'click' sound.. like it's trying to beep. I have RMAd my mobo 3 times now and it does the exact same thing every time. I put my Athlon 1.4 in the motherboard and it does the same thing. I have checked everything else. I have narrowed it down the CPU or mobo. Could my mobo be causing the CPUs to go bust when I insert them?
 
yeah i will ask friend if i can stick the cpu in his mobo.


if i have a bad cpu and i stick it in a good mobo will it ruin his mobo?
 
I had a similiar problem with an Aopen MB. I am on my third MB with the same problem. I finally changed the CPU (from an Athlon 900 MHz or a Duron 800 MHz) and the problem has not resurfaced again, yet that is as I am still watching. One important note, I change the HSF when I changed chips. What I think was/is happening is that with the other HSF combo that the fan connector was not making a good connection and therefore was not supplying the RPM reading and which was causing the MB not to POST or boot. Just something else to check. I find it strange that 3 MB can all be bad the same way.
