Is it "leagal" to sell a new PC with W98 se upgrade?

It would be legal if you also include a legal copy of the version of Windows being upgraded. But I don't think that's what you had in mind....

Try doing a search at Google for a vendor that still sells 98. Actually, I think it is still readily available from almost anywhere.
