I am planning to upgrade my Celeron 800Mhz system to a AMD XP 1800+ on IWILL KK266+ motherboard with 512MB PC133 SDRAM(the one I'm using right now).

I was wondering if 300w PSU will be enough to handle XP 1800+ ?
I have one hard drive, Geforce 2 GTS, one DVD-ROM, one CDRW, one floppy, one PCI ethernet card, and SBlive value.

Yes. I'm running an AthlonXP 1800+ (thank you AMD XPP!) and pretty much everything the same as you except I have the GTS-V, 2 hard drives in RAID, and a different motherboard with DDR memory. No problems whatsoever. I don't overclock this box though.

BEWARE: Reguardless of what you may have heard, the IWill KK266+ has MANY, MANY problems with the XP processor. If you install an XP, expect marginal stability at best, with occasional lockups and crashes. I hope you don't plan on using it for gaming...

Check out this post: What makes XP work on KK266?
They talk about all versions of the KK266 (regular KK266,R,+,+R) having problems with varying success rates.

Here's a much shorter post, that gives the best advice: KK266R & KK266+R

If you MUST use the IWill KK266 series MB, stick with a 1.4Ghz T-Bird...

Yeah, I gave up on that board too. And I purchased it based on Anand's recommendation. It was the worst board I have ever had the displeasure of using. After that, I don't trust Anandtech mobo reviews anymore.
