Is a vn4/vn4 ultra zenith ve board good.

I am just curious if this board is a decent board for someone like me that doesn't do anything to hardcore on my computer. After reading the specs, it looks pretty good. The only problem is that, if I get this board then I will have to replace my processor (or is there other stuff that I will need to replace that i am forgetting?
 
Someone wants to trade my ps2 for this board. I figured why not since it is a newer board with all of the pci-e slots on it. It also has a few other things that I could use as well. I can always sell my current board and processor to be able to buy an athlon 64 processor. Tell me if it is worth the trouble or if it is not worth the money to upgrade yet.
