Dell usually sells its systems with OEM Windows licenses. An OEM license is tied to the computer system it came with (defined as the motherboard) for life. That copy of Windows cannot legally be installed on any other computer. If the computer is resold to another party, the OS license must transfer too, or it is invalid.

Retail licenses are handled differently. Windows Vista retail can be installed on any one computer at a time, and can be transferred an unlimited number of times as long as the one-computer restriction is met. Retail Windows can also be resold independently of hardware, according to the license terms.

Here is a portion of a MS licensing FAQ:
Q. Can I transfer my OEM Windows Vista software to my new PC?
A. No, OEM software is tied to the PC that is installed on. Transfer can only take place if the PC is transferred as well.

Q. Can I install my OEM Windows Vista on more than 1 PC?
A. No, Windows Vista is licensed per device - this means one licence is required for each device that it is installed on and must be purchased pre-installed on a fully assembled PC.
