Installing/Loading Win2k BSOD

Ok, Whenever I boot up off the Windows 2000 Pro cd, I get this werid Bsod message;

** STOP: 0x0000006B (0xC000012F, 0x00000003, 0x00000000, 0x00000000)
PROCESS1_INITILIZATION_FAILED

I've rebooted a few times, and tried another win2k pro cd, and It still did not work, So I was able to use my win98 cd to boot off of it, slide my win2k cd in the cdrom, and then Install it.

Now, whenever I load win2k pro, right in the middle of it, It goes to this BSOD. I have no clue what else to do, but what it says, and I've already done that. (uninstall new software/hardware, disabling caching and shadowing)

Heres my specs:
Celeron 366 (Not overclocked)
Asus P2B (flashed to latest bios)
128 megs of generic ram
4.3 Fujisitu Harddrive (installing win2k here)
1.2 gig Fujistitu Harddrive
Herecules Geforce 2 MX 400
Sound Blaster 512
USB Intellimouse Explorer
PS/2 Logitech Keyboard
Realtek 8019 Combo Network Card
Sony Multiscan 15SF

edit: I can't even get passed the detection on the bootup of the cd before it bsods
