PLEASE when POST threads asking for input on system builds tell us...

1. What YOUR PC will be used for. That means what types of tasks you'll be performing.

2. What YOUR budget is. A price range is acceptable as long as it's not more than a 20% spread

3. What country YOU will be buying YOUR parts from.

4. IF YOU have a brand preference. That means, are you an Intel-Fanboy, AMD-Fanboy, ATI-Fanboy, nVidia-Fanboy, Seagate-Fanboy, WD-Fanboy, etc, etc, etc, you get the picture.

5. If YOU intend on using any of YOUR current parts, and if so, what those parts are.

6. IF YOU have searched and/or read similar threads.

7. IF YOU plan on overclocking or run the system at default speeds.

The above information IS NEEDED, in order that WE can help YOU make wise judgments on YOUR purchases
 
As Davegod said, it's really impossible to give good advice without knowing more about how you intend to use the computer.
 
Will use it for basically surfing the web as a replacement for my desktop that just died.

It will save you a fair bit of money and actually probably be faster. If you ever decide you want more power down the road, it has a lot of overclocking headroom.

DDR2-1066 is completely unnecessary for what you're doing.

And if you'd like to spend as little as possible, I'd get this motherboard instead:

Very similar to the P35-DS3L, but it has a $30 MIR that drops the price to $60.

As far as the Dell deal, I would only consider it if a monitor were included in the price. Without that you're paying more than you need for a processor you won't use. For surfing, the Q6600 is major overkill.

Not much you can transfer from your old computer to your new one. However, if you figure out which parts are still functional, you should be able to get a decent chunk of change by selling them. (Also be aware that new motherboards like the DS3L and IP35-E generally only have 1 IDE port, so if you intend to reuse more than two PATA drives you'll have to look at other options.)
