Need to upgrade the kids old PC. I have the WIN98se authentic product key but only a backup of the 98SE CD-ROM. Will I have to pay for the Retail version?
 
The backup disc should work, the key does not matter.

How much are you paying for the upgrade? OEM may be cheaper with a free Vista upgrade.
