if I DONT plan on overclocking how is this CPU

How about a better motherboard and slightly slower CPU?

Motherboard
CPU

$294 vs $241

Or move up to a 3200+ for an extra $43 over the 3000+ which is still cheaper than the 3400+\Soltek combo

I have the Clawhammer version of the 3400+, 2.2Ghz/1MB Cache and it runs great. It is used in my home Server for webhosting, hence why I went with the 1MB Cache version.

Excellent CPU choice, that will rock at stock😀

I would use this mobo for $10 more
Asus K8N

This one is excellent at stock, and if you ever decide to O/C it will do a pretty good job at that also.

r u all sure??? i just put together a vnf3/3400 box, and have some issues...

1) damn it runs hot with the stock hsf... 61C sitting on the test stand running prime95... at stock voltage and clock... and even with a bigger fan it doesn't oc much...
2) 2000 less cpu score in aquamark3 than a 2.25 clocked winch 3000 in a 9nda3j (which i got for the same reason as u - keeping old agp card)... slower in aqm3, 3dmarks...

not to mention going forward compatibility... if i was going to do it again i would get another 9nda3j and a 3000 or 3200 winch... i was going for a best stock performance box, and am disappointed...

No overclocking (main reason to buy a S939 chip like the Venice or, formerly, Winchester) and irreplaceable (for the moment) AGP graphics card.

61 Celsius should not be normal... double-check HS installation maybe, see if your board is misrepresenting temperatures and maybe see if there's a fix through something like a BIOS update.

it will be paired with:

http://www.newegg.com/Product/Product.asp?item=N82E16813180061 motherboard - actually im probably going to end up changing that(any suggestions for that price range?)

and 9800pro video card(probably the biggest bottlenck in the system, but i cant afford to upgrade it, its being carried over from my current pc)

and 1gb pc3200 ram

That's a great setup, though I also doubt you'll really notice the difference between a 3400+ and a 3000+ or something, so you may want to incorporate MDE's advice there. That motherboard should be a fine choice; spring for the Asus if you want, or go even cheaper with an Epox or something. All of those should be good options.
