If I could trade a:

MSI815E Pro MB
P3 700 CBOE Stepping
256 MB of PC133 RAM

For:

MSIK7T266 Pro M
Athlon 1.3 gig cpu
256MB of 2100 RAM

At virtually no cost, maybe $25 max, should I do it?

Logic says yes. However, I have never owned an AMD product and haven't kept up with technology since I upgraded to the 815. I know that when you pair up a good processor with a bad MB, you can still make minimal gains. I also don't know anything about the VIA chipsets on the KT7 MB. Is it a safe trade?

Any more opinions. Also what do people think about buying the MB/CPU combo off of price watch. The MB's are usually ECS, but the price seems cheap.

No question, it will definately be faster. I wouldn't reccomend buying anything off pricewatch unless you have faith in the website you are buying from. I usually head straight to newegg when purchasing hardware.

Well I call it a trade, but what I plan on doing is buying the AMD setup and sell mine. The person started at $175, went to $160 and is now @ $125 OBO shipped. I figure I can get him down another $25 and at least sell my setup for $75-100. Maybe I can maybe I can't. I email him and am waiting to hear back. I am still unsure of switching. It is not an Ebay sale by the way. It's another computer site.

Where have you been for the last three years?
The DDR seup will not only be faster....It will virtually crash your old system in every benchmark.....
Go for it, but invest in a good heatsink as well......:D
