i5 750 upgrade help

Currently I'm running a AMD X2 3800+ which I bought sometime back in 2006 so I think it's about time that I upgrade. I'm looking at the i5 750 mostly because I can get it for $150 at Microcenter. I probably won't upgrade again for another few years so I'm planning to OC the i5 to get the best performance out of it. I'd like to get it to 3.6 - 4.0 GHz and be stable for 24/7 operation. Right now I'm looking at these components.

Since I will be overclocking I was looking for a better heatsink. I've been looking at the Prolimatech Megahalems Rev B paired with 2 fans that I've yet to decide on. I'm trying to spend as little as possible to achieve my goals. Should I go with a Coolermaster Hyper 212+ and spend the extra $30 or so on a more expensive motherboard or just pocket the extra cash?
I've heard good things about the G.Skill Ripjaws RAM but if anyone has any recommendations in the same price range I'd be open to those suggestions.

Looks like we both just posted very similar posts. I've heard good things about that Megahalems, so if you're doing an significant overclock, the collective has suggested it to me.

I also downgraded to the 3R motherboard, as I won't be running SLI, and the on-board audio codec was actually rated higher in a benchmark I found on the interwebs somewhere. Otherwise they're practically identical, from what I was able to determine.

I also bought that memory, and all the advice I got was to get that exact set.

Then again, I'm not a hardware guru. Just a dude who likes to build machines.

everything you have mentioned is very good stuff. The Megahalem is the cream of the crop air cooler. Pair it with a couple Scythe S-Flex medium speed fans and you'll have an awesome setup.

Thanks for the confirmation. I've done a bit of reading on the hardware but most of the reviews were fairly old. What is a reasonable OC for the i5 750 that is stable 24/7 with the hardware I'm looking at?

3.8-4.2GHz depending on the quality of the chip and how long you spend tweaking it.
 
Thanks for the help guys. It looks like I have one more question at the moment regarding the Prolimatech Megahalem. Does anyone know if I would be able to fit a 38 mm fan on it with my given motherboard? Ive heard people say they had trouble getting a 38mm fan on the heatsink without it getting in the way of their motherboard. Also if anyone has recommendations on good heatsink fans that would be great.
