PC1600 RAM will work but probably will limit your FSB, you'll have to check the manual. mATX boards will fit in ATX cases.

This ASRock 775I65G virtually offers the same specs but also supports 1066MHz CPU bus when using a graphics card and CAS2.5 (or lower) DDR400 RAM.

I would prefer the ASRock because ASRock's BIOS support is excellent. Gigabyte is often quick to discontinue BIOS support after just three or four updates, especially for boards that are well below its more profitable enthusiast models.
