I have a P4P800 and it won't cold boot OC'ed but it will soft boot OC'ed...why?

I have a P4P800 with a 1.5 mobile in it.
I have 2x 512 Kingston HyperX pc4000
I have a Zalman 7000copper hsf
Antec 430 psu

For some reason (reguardless of bios version) The system will not cold boot when over 110 fsb. Yes this is a 100 or 400 fsb proc.

I have played with mem options and cpu voltages turned off Spread Spectrum and I get the same result.

I know the proc will do 240 fsb no problem because it did it on my last gigabyte mobo.
And when it says cpu overclock failed if I ctr-alt-del and reboot it it boots into windows and I can game all I want day in and day out!!!!

Does anyone have any idea of what my hang up could be?

If it weren't a 430watt power supply, I'd say it was having trouble powering up your mobo with what it needs to overclock and spin up your drives at the same time. Perhaps the PSU is on its way out?

Edited to add: Do you have a lot of drives on this system?
