I can't decide, Shuttle SN45G or build a desktop?

I am in need of an upgrade and I really like the Shuttles for the space, but I just don't know with the limited upgradeability. It has 1 PCI and ! AGP slot, everything else integrated. Currently in my desktop in the PCI slots I have a TB Santa Cruz, modem, NIC, and ATI TV Tuner. AGP is a 128mb Ti4200. Now, the Shuttle has onboard sound which is supposed to be really good, LAN port, only thing missing is the modem which I don't use since I have broadband.

If I go the desktop route I need to get a new case, something smaller than the former Antec 1080 steel case. New motherboard. I'd keep everything and transfer it over, XP1600+, TBSC, Modem, Ti4200, NIC, TV Tuner. Any ideas or comments of which way to go? I know there is a new chipset coming out this fall supposedly which would require a whole new mb, but I don't want to wait.

I recommend the Shuttle SN45G since you can use a tiny Serial(or usb/firewire) Dial-Up modem and fit it inside the case. This way, you still have your Free PCI slot. I'm very happy I upgraded to the SN45G since it's small, quiet, powerful, and visually pleasing.
