I am extremely intrigued by the D420 but

If you don't mind voiding the warranty and if Dell provides a BIOS update for it, a C2D would work fine. Though, if you haven't purchased it yet, Dell will probably moving the C2D into the Latitude line within the next month or two.

Looking at the D420 options, it looks like you only have ULV options. With that in mind, they may solder the chip onto the board to save the few mm that a socket would take up. Also, if you go with a D420, remember that it doesn't have a built in optical drive if you wanted that.
 
The chip may be soldered in, but I'd be surprised. Instead the thing I would worry about is thermals. C2D currently dissipates a max of 35W. The ULV Core Duo dissipates a max of 9W. BIG difference there. You'll need to wait until ULV C2D to really be able to consider that.
