Yeah, you have a good amount of ram, it should be good. I would personally recommend Windows 2000, but I'm pretty sure it will run just fine with the visual effects turned off.
I've run it on a p2/450 and it was usable but definitely slow even w all the eye candy disabled. Win2k might be a better solution if XP isn't offering anything that you absolutely need but it will work. Bumping the RAM up to 384 or above will help a little bit.
