Just trying to get you the most bang for your buck again. Yeah, your CPU might be bad but it might also be fine. It might have been a good idea to check it before buying a new one.

It's extremely unlikely to be the CPU dying. The way CPU's are, they pretty much either work, or don't work at all. If something burns out in the CPU, it's not gonna post. I think your problem lies elsewhere. And you already said your memory is failing memtest..I would try to isolate the bad ram, rather than trying to blame it on the least likely component to go bad..if your temps aren't even hitting 60c, your CPU is not overheating.

I just built a City of Villains PC for my girlfriend and the CPU was overheating due to some oddity. She kept saying that she'd RMA the CPU because it was obviously broken, but I was like "Noooooooooo!".

It was the PSU sending too much voltage. Interesting story, I know. =P

Are all your ram sticks bad?

Maybe a couple are good and a couple aren't?

Testing to see if you have some that are good and then seeing if you're stable would be a good thing to try.

Well I already ordered the parts. You guys are right it probably right, it probably isn't the CPU dying, but I would still like a Dual Core CPU.

That's understandable if you want to upgrade to dual core. I was just suggesting earlier that if your 3200+ was ok still, that's a pretty darn good processor still. If it was increased gaming performance you wanted you would have been better off replacing the 6600gt with something faster than keeping the 6600gt and getting a new processor.
