How is Windows XP Pro Academic version different?

What is the difference between Microsoft Windows XP Pro upgrade with SP2 Academic Version and the regular Pro upgrade. I know you need a prior version of windows to install both of them, but what distinguishes them?

Edit: Is the ONLY difference is the license agreement?
 
academic is a discounted version for students and teachers. License agreement says that you must purchase this as a student, and you can continue using it after you leave school, but you cannot sell the license. Think there is a one copy limit on it, but not sure if they really check.
