How big of a difference could I see between these 2 processors??

Ok here is what I plan on doing:

Intel System:
P4 2.8GHZ 800FSB
ASUS P4C800 E-Deluxe
120GB SATA Maxtor drive
1024MB Corsair PC3200 RAM
Radeon 9800 Pro(thinking about getting the 6800 Ultra)

AMD System:
AMD64 3000+
MSI K8T800 Neo-FIS2R board
same HDD as above
same RAM as above
same gfx card as above
 
Do you game or do you encode most of the time ? Do you want to overclock ?

If no OC'ing, then Athlon64 for sure.

If you do OC and if you game, the Athlon64, otherwise if you live to encode stuff, the P4 would probably be better at least until Windows XP 64 bit comes out, then its a big ????
 
I agree with Mark, if you game, which I am guessing you do since you are considering the 6800 Ultra, but if you will spend most of your time doing Media Encoding the P4 will probably fit your needs a little more. I suggest looking at benchmarks for these CPU's for your intended use and go from there.
