High kernel Usage with devldr32.exe

First of all, here is my current configuration-

K7V w/ Athlon Classic 1Ghz
384 PC-133
20 gig maxtor
30 gig maxtor
IDE zip
no name IDE burner

(cards)
GF2 GTS
Advansys SCSI card (connected to toshiba SCSI drive)
3com 3c905x nic
SB Live X-gamer 5.1

all running on Windows 2000 sp2 (same problem under sp1 and original install)

I get on average 10-16% kernel usage from devldr32.exe at all times. This normally wouldn't bother me, but when I try to multitask something happens and whatever program is trying to take the most cpu cycles causes the kernel to peak out at 100% causing me to loose almost all control to my machine. This is not a problem when I remove my Live card, or just uninstall the drivers. I have tried several different 4n1 drivers from via with no luck. Tried the different service pack for Win2k, no luck.

What am I doing wrong here, I had this system working very nice for a long time and this problem just started to happen? I have tried backtracking to what I had and it does not work.

Does anyone else have a similar problem???
