1 - I probably would lean more towards the Asus P6t, main reason it has more ram slots and you could upgrade the memory easier without having to remove the other sticks
2 - I see you will be using Vista 64-bit, then for memory id go 6GB (3X2gb) will give the full performance of the triple channel memory. If going that way either board would be ok
The rest is ok,

No such thing - gaming PCs eat power and crash all the time. Servers should do the opposite. I assume you want to leave the server on 24/7? I reckon you might actually save money by getting a very low power server appliance and turning that overclocked hog off when you're not using it.

Said hog will be awesome for games BTW.

the real question is what sort of server? The other thing, DDR3 is tri channel, get a 6/12gb setup it will preform MUCH better than 4gb. this would also depend on what sort of server you're going to be running. This goes along with Atheus's post, but you don't want to OC a server EVER the point of servers is reliability. And TEC cooling? I could see water, for noise reduction and more stable temps but unless you're going insane with the OC (I don't know the spec'd on the TEC). And you might also wanna do a little of your own research on TEC's and see why they're not a good choice for OCing unless you know how much heat they need to off set. They typically over cool and cause condensation or turn into a heating plate unless you've done a good bit of research. They're also quite power hungry.
