Help with motherboard chip

Hi , the chipset cooler on my nforce4 chip on my a8n-sli deluxe motherboard gave up (commen problem) So i removed the fan and heatsink and ordered the zalman
ZM-NB47J + Artic Silver 5> Now the problem is this is my first time doing this so look at the picture , there is some black plastic around the chip , what must i do with it? Remove or let it stay there? Cause there is green from the chip under the black plastic.

Hi , Ok here are 2 new pics (altho you could see it on previous pic but the plastic cover is black so...)

The grey in middle is chip with thermal grease i guess the black around is the 'plastic' kind of black cover on the chip (grease on it to) So remove or keep? And what to do with the new heatsink if removed (put on chip only?).

The black plastic is probably to protect the chip. The cooler flops around from handling shocks and can damage the edges and corners of the NF4. I found this kind of damage to the NF4 chip on my Chaintech VNF4, probably because it doesn't have the black plastic shield, see:

Is AS5 conductive? There are several components under the black plastic so I would avoid a conductive HS compound.

So what should i do? Leave it on and clean area on chip and on plastic?? After that put artic silver 5 on chip and plastic? Ive seen lots of people with a Zalman heatsink on A8N-Sli motherboard so...

Sorry about that, I hadn't looked at their website previously. AS5 is thermally conductive but NOT electrically conductive so If you're careful to use the recommended amount (on the chip only) it should be fine.

Check the NF4 temperature after installing the NB47J to be sure the cooling is adequate in your box. I found the NF4 temperature was running 42C to 44C and elected to add a 92mm fan blowing air at the NF4 cooler. This fan is controlled with SpeedFan, where only a modest air velocity is needed to drop the temperature 6C to 8C -- in my case, a fan speed of 1000-1200 works well and is inaudible. My NF4 chip temperature is typically 32C to 34C, depending on ambient.

Just put the AS5 on the silicon chip, putting it on the black plastic is pointless..as all the heat is generated by the chip, and the heatsink only makes contact with the chip. The black plastic just appears to be a protective coating for the packaging, I would just leave it alone.
