Help with Hard Drive freeezing

Here is the situation:
I have a 40 GB Maxtor 7200 rpm hd.
While converting ac3 files to wav files, the hard drive suddenly freezes up and makes the same scratching noises...Is this bad? I mean, the whole computer hard locks, and i have to shut off the psu and turn it back to to unlock it. Wha should I do? Is the hard drive faulty?
 
Scratching sounds are very bad...run the diagnostic floppy that comes with it, and immediately start backing up data...
