help with ga-81k110 mobo re-boot problem!!!!!

I purchased all parts to build a computer with this parts:

gigabyte mobo ga-81k1100
2 sticks of kingston hyperk pc 3500 memory 256 mb. each
antec case with 450 watt ps
intel pentium 4 2.4 cpu
lite on cd-rw
msi 128 mb video card @ 8x agp
seagate 40 gig hd 7,200 rpm

I succesfully botted up the system and installed win xp pro.
Installed all drivers ok.
Then i installed a cable modem a motorola 5100 series succesfuly and then...... as soon i opened the second or first page in the internet the blue screen of death would show for a split second and the computer would reboot!
i downloaded all updated drivers for all hardware, still the same
the cable modem works fine on a laptop and another desktop...
then i replaced the power supply....
then i tried a regular ddr ram pc 2100 same problem......
then i noticed that the problem happened not only when i connected to the net, i had the modem disconnected and when i was burning a cd she rebooted!
i formatted the hard drive and re-installed everything again, same problem..
changed the ram to different banks still the same......
then i changed the cpu with a celeron 2.0 and the problem went away.
so my question is is the 2.4 cpu bad or its not fully compatible with either the ram or mobo????

The correct model number is GA-8IK1100. Here's a link to Gigabyte's data. You will probably find out more about compatibility on their site.

If your power supply is marginal, the P4 may be drawing enough extra current to cause problems. You could also have a flakey CPU. There is also a Windoze security update for reported problems like the one you describe. Check Winows Updated page, update your AV, and scan in safe mode.
