It is going in a mobo with one stick of older DDR 2700

I'd like to add a nice vid card in two or three months for doom and games.

The obvious difference is the one is the Prescott core and the other is a Northwood core.

The way all P4s gobble up bandwidth I don?t know if it will matter what one you get as both will be severely handicapped by single channel DDR 2700.

Then again I have very little experience with P4s so maybe someone else can correct or clarify my opinion.

The one with 1MB cache is the newer Prescott core. Better check for mobo compatibility with the Prescott. Both chips are about the same overall speed.

You definitely want 2 sticks of ram. You really want 2 sticks of PC3200 for the 200/800mhz fsb P4's.
