HELP! WinXP doesn't boot after install

I just upgraded my win2k sp2 to winxp using the upgrade and it doesn't boot!! It installed everything and all but not it is on the boot screen with Windows XP professional on it and it just hangs... why???

here is my system..

P2 300
192 RAM
VOODOO3500
SBLIVE VALUE!
LUCENT MODEM
3COM NETWORK CARD..

any help would be appreciated!
