HELP! Win XP NTDLL install error???

When i reboot the first time afther the install of Windows XP, I get the error:
"STOP: c0000221 Unknown Hard Error
\systemRoot\System32\ntdll.dll"

I've searched online and all of Microsofts knowlegde base and can find nothing that remedies this problem. I've tried both upgrade and freash install method, I've reformatted and tried installing XP, reformatted installed windows ME and then XP, etc... but nothing works.

Does anyone have any ideas? I'm totally lost...

I took out everything else, like my SB Live and NIC
