Help to upgrade my system

My system is desperately needing an upgrade at the moment it stands at:
K6-2 500
Basic crap old MB
256 Mb Dimms
20GB Seagate HD
Voodoo 5 5500
Soundblaster 128
52 Panasonic CD-Rom
Sony 8x4x32 CDRW
2xNetgear 10/100 NIC
19" Samsung Monitor

I've got 3 other comps sharing the cable modem through a LAN, the network works fine but I want to upgrade this computer to a decent spec.

I'm looking at the moment:
AMD Socket A T-bird 1.4 GHz OEM 266MHz CPU
Cooler Master CPU-Fan Socket A/7/FCPGA EP5-6I11, Up to 1,4GHz.
DDR-DIMM PC2100 256MB DDR CL2.5 Memory 184-P (for DDR-PC266MHz)
MSI K7T-266 PRO-R Mainboard for Socket A VIAKT266, ATA/100,RAID, sound, ATX, DDR ????? (does anyone know of this motherboard?)
This coming in a bundle for £254
Full Tower Case
Possibly:
Western Digital Caviar 40GB IDE 7200RPM
Lite-on 16x10x32 CDRW (replacing old CDRW)
Panasonic DVD (replacing old CD-Rom)

What would I realistically need to upgrade to give me decent speed whilst still value for money, is my Voodoo 5 going to hold back the system? Any recommendations of what I should get for under £400?
 
Well, it looks like all you left out is the sound and video card, and your mobo has onboard sound, so if that is good enough for you, then stick with that. As for the video card, it all depends on what you want. There are things out there better/faster than the Voodoo 5 5500, but if it is meeting all your needs, then there is no need to upgrade it at this time.
 
But realistically is this the best system I can get for £400? My Voodoo 5 does me fine for what I use it for. It's really just the CPU & Motherboard (and of course that affects RAM). I've been looking at the AMD Athalon XP..... Is there any point.. Does anyone know the difference in benchmarking?
