Thank you for reading and I'm sorry for a long post. I'm hoping that someone may shed some light on my situation. Here's my config:
Abit AN7 latest BIOS (08/06/04)
AXP Mobile 2500+ @ 2.2GHz/1.656Vcore (11x200)
2x512MB Corsair PC3200 XMS (black heatspreader)
Vantec high flow cooler (keeps the chip @ or arount 30C even under load)
Vantec Stealth 520W PS
less relevant but who knows:
Hercules 3D Prophet 9800Pro 128MB
Adaptec ASC-29160 driving ST318453LW and PX-40TSi
3Ware Escalade 7500-4LP driving 4xSamsung 160GB
Samsung 52x32x52x16 COMBO CD-recorder
Up until yesterday the system ran without as much as a hickup, it is well cooled and I don't shut it down for weeks. Yesterday I started getting various bluescreens for no reason (no hardware / software added or taken out). So I started playing with it trying to figure out what the problem was. Prime95 locks up the box as soon as I launch the torture test. So seeing as how the CPU is nicely cooled and all I decided to check the memory. Just as I suspected Memtest86 3.1 started spewing 1000s of errors. Now, the plot thickens. Took one module out Memtest runs fine for 5 loops straight. Naturally I started thinking the module is bad. Took the tested one out put the suspect one in. Memtest runs for 5 loops no errors. To make the long story short both modules work by themselves in _ANY_ slot on the motherboard. When I put them together either in dual-channel config or just next to each other - I get errors and essentially blue screens.
Here's what I tried all of which did not help:
Relaxed the memory timings
Downclocked the memory to PC2700 speed
Flashed the Motherboard BIOS to the latest (with one module installed of course)
It just seems rather strange that my config worked for 6 months and suddenly gave out with no apparent reason. It looks like the RAM is good and the slots on the motherboard are fine ... Please let me know what you think.

Checked the PS with multimeter both rails in good shape...
