Help overclocking 3200+ Venice

My system is the following.

MSI K8N Neo2
Athlon 64 3200+ Venice
512 MB Corsair Value Select PC3200
Raptor 36 GB HDD
Maxtor DM Plus 9 80 SATA HDD

I am having trouble getting the system to stay stable past 2.4 GHz. I set the RAM down to the lowest FSB in the BIOS and the CPU still does not want to OC. I am using stock cooling with a thermal pad cause I could not find my AS5, but my system us next to an air conditioner that is running full blast. I get about 34C Idle, any idea's?
 
If you're running stock voltage, definitely bump it (and lower HTT) like furballi said. If that doesn't work you should also try changing your memory to 2T. Doesn't hurt performance nearly as much as the boost in clock speed will help, and with A64s it's all about the clock speed.
