Help on VM workstation config

I was planning on getting a Dell Inspiron 530 with the quad core. I was planning to just get a base config then later install 3-4 GB of ram. I have a copy of Vista Ultimate 32-bit. Then, i was planning on using VMWare as a hypervisor (or simply running Xen on ubuntu) for a lab environment to help me study for MCSE exams. I also wanted to use this PC to record HD shows from the SiliconDust Homerun box. Do you think this is possible with this kind of config? I understand that there is a 3 GB limit for 32-bit, would it be in my best interest to get 64-bit version of Vista (is there any easy way to get an upgrade copy?)

Edit: I found the media form on microsoft. But since i got this at an MS event, i guess they won't give me the 64-bit copy of their software. If i find the media for 64-bit vista, do you think it will work with the same key i have?
