Help--new computer not booting up--help with diagnosis

I just put togeather a socket 939 Athlon 64 system.

When I turn the power on, both the power supply fan and the CPU fan start running. However, I cannot get the computer to even "beep", much less actually have any video

I've tried with and without memory (and memory in different slots), checked the cpu to make sure it was installed correctly, and tried it with and without the video card (to see if I could even get a beep). No go.

Any idea what the problem could be or any other diagnosis I can do?

If I have to RMA something to Newegg, should I just RMA the motherboard? Or the motherboard and CPU?

Did try it without hard drive. Did try reseating the CPU.

If it is working properly, I should give me a "beep" with just the CPU and a stick of memory, correct?

Still a no go.
