Help me with my dead compy!!

I picked up a free computer from a company that was ditching it. It looked to be a decent Athlon 1400+ machine.. which isnt great.. but for free, with an ATI video card that has TV out .. etc.. would make a nice DVD player/MythTV front end.

So I plug it in.. no video.. hd is dead.. (Deathstar GXP40 clicking.. )

I pull the HD, pull the video, reseat the video.. still nothing. I reseat the ram, reseat the video card, and it does one long beep on power on. I move the ram to another slot, and nothing. I put it in the 3rd slot, it beeped.. back to #2 - it beeps.. back to #1 it beeps.

Ok.. bad ram.

I toss a known good 512mb DDR PC2700 stick in it (the stick it had was PC2700)..

Long beep on all slots.

I pulled the CPU, and powered it on and it doesnt beep at all. The CPU looks decent.. usually fried athlons ahve scorch marks on them..

So any ideas? Do I try another CPU (ie buy one).. or is the motherboard shot?
