Going to build a new system soon, was going to go AMD but changed my mind with the price cuts.

I am definitely using this particular motherboard. I could go with the 2GB of GSKILL DDR800 if it would help my overclock. If I can run asynch bus and get the same CPU OC then I would rather save the money and stick with what I have.

I may stick with the cpu stock cooler at first also. From what I have read I am probably looking at 2.8-3.0 on stock for the e4300 and maybe even 3.2 on the 6320 with a stock fan. If I get aftermarket I am leaning towards the Freezer 7 for about $30 shipped unless there is a better deal.

What should I do?

I would still go with the DDR2 800. Even if you don't need it now, you may need it in future upgrades; It doesn't cost that much more. I would just get the E4300. If you want more power later on, you can upgrade to quad core when they're cheaper and more apps are multithreaded.

E6320 seems to be an authentic Conroe core, whereas the E4300 is the Allendale core with the Allendale stepping. The Conroes seem to overclock better to the 3.5+ range. The Allendales seem to be more limited in OC to the 3.1-3.3 range.

I am currently testing a 6420 at 3.3GHz on the Biostar 965PT with Crucial 10th anniversary sticks and this set up rocks. Go with the 6420 or the 6320, you won't be disappointed.

Id go for 6420 instead of 6320 but personally im going with 4300 and regular ddr2800... also 6420 only needs regulr ddr2-800 to do 400x8=3.2ghz so memory can run at exactly 800hmz.... while if u go with e6320 than in order to hit past 3ghz u need a good RAM.... meaning ram than can do up to 900mhz... which is 450x7=3.15ghz... or past 900 if u want more than 3.15ghz cpu speed...
Bottom line? instead of spending more money on RAM for higher clocks... get the e6420 for what is it 20 bucks more than 6320.... so u dont need to go crazy high FSB.... to reach same overclock. U can get Supertalent 2gigs ddr2-800 for $106 at ewiz... instead of paying over $130 (the least) for higher clock ram... Hope it makes sense for u

well at current prices you'd save maybe $60 on the cpu, and $20-30 on the ram.

Depending on how much that is worht to you. and if you want the absolute greatest o/c or just something decent. I bought an e4300 and ddr2-667 even before the pricecut and im perfectly happy with the performance (at stock too... i probably will get it up to 2.4 eventually)
