Help! K8V deluxe "fails CPU test" on Startup

I have the ASUS voice reporter enabled on my K8V deluxe (Athlon 64 3200+) 1 gig Ctucial RAM. The box is usually on all the time. Last week I walk into the office to find it crashed (locked up with a dark monitor) and on reboot I get the above message ("System failed CPU test!").

Pulled the Zalmann HSF, everything LOOKS fine. Regrease and replace the HSF and reboot...no go.

Did the chip fry? How would I know? How do y'all think I should go about troubleshooting from here?
