HELP installed GF3 + format but cant run 3d applications!

I had my p3 700e @ 1140 mhz for about 6 months, using watercooling I keep it at room temperature always. I just got a geforce 3 to replace my geforce 2, so I clocked my processor back down to 700 mhz, formatted, installed win 2k, the latest intel driver update, service pack 2, all my drivers except nvidia refrence 12.90's, I installed DX 8.0a then the 12.90.

At this point everything is functional.

Now I o/c my processor again. I can go as high as 1100 (thats as far as I tried) and the computer boots normally. I can run stuff like win amp, browse the net, use microsoft office etc... but the second I open an application that seems to utilize the video card (i.e. a game or 3d mark something running off direct 3d or opengl) it starts to load the program but before it even gets in my comp freezes. My IDE channel activity lite stays lit.

700 mhz is too slow for me and I cant afford to upgrade now even tho everythings really cheap.

So here I am with a geforce 3 in a 700 mhz machine getting like 3000 3d marks or something

Please can anyone figure out whats wrong? Im going to try installing windows XP this weekend and see if my comp will run overclocked in that OS.

the only component I have changed was the video card from a gefroce 2 to a gainward gf3.
