Help!!! Did my dragon die?!?!?

a few days ago the computer became very unstable and crashed more than 3 times before never posting again... i tested the items like video card, ram, heat sink, power supply, reset bios, remove all unecessary items and also the cpu.. but i still can't get the computer to post... the signal that i am getting is the continous beeps...signaling that it cannot detect the rams... however i have reseated the ram numerous of times... getting it to post only twice...however... both times crashed while i was in the bios... (tried to see temp)... I was wondering if this is a motherboard problem and if it is how can i recieve a replacement? Please contact me as soon as possible since i really need this computer to do my 3-d renders.

I changed the cpu out aready.. 1.4 bird to 700 duron... I looking to see if soyo would give me a new board...
