If you aren't gonna OC, the 4400+ is slightly faster. They both have 2x1mb of cache, the opty 170 is 2ghz, the 4400+ is 2.2ghz.

i just dont want to shorten the life span of my chip. i know some would argue that it doesnt but in my experiences yes it does.

It doesnt shorten the CPU's life to any significant degree unless you go overboard. Regardless, I prefer running all my stuff at stock (though I overclock the hell out of it for the first few days) just for peace of mind.

Chances are (I would say 100%) 170 will clock to 2.2GHz without vcore raise. And chances are an Opteron 170 is indeed an 4400+ (or even 4800+), but rated lower for more stringent stability in server environment.
I would say 170. The best deal on the market right now especially since the price of 165s went up.

If you're absolutely sure you don't want to overclock, you might as well get the slightly faster 4400.

Well, that may not be true anymore, at least if you have an Intel chip. Stevty fried one of his cores on his 920D by only going up to 1.475 vcore.

Yeah, but I had also taken a soldering iron to it trying to do the BSEL mod, so I'm not entirely sure what killed the core. Technicaly it should have been safe to at least 1.5v, but who knows for sure. I've overclocked every cpu I've had, and this is the first time I ever had a problem. I'll just replace it with a yonah when the desktop boards for it become available, and overclock the crap outta it.
