Help choosing a new Processor/Mobo

I got a aging Dell Dimension XPS H233 with a Pentium II 233 MHz and everything on the system is current except for the Processor and the Intel PD440FX mobo. I'm on quite a tight budget and i was thingink about upgrading to around 700-900 MHz can you guys please reccomend a good processor/mobo. I'd like to go with Intel but i dont really know. Im on a really tight budget (around 300-350) and i also need SDRAM(my old ram is EDO) and a fan if i go with FCPGA.

Any help is appreciated, Thankx.

How about something like this?

128mb PC133 $50(comp show price, dont' know internet prices)
Duron 6xx or 7xx(under $100)
MSI K7T pro2a MB(around 110-120).
Taisol CGK742092 for $25 from nersbyte.

I don kno....I would really like to go with the P3 and i think im going to go with the 700 FCPGA($150) and o/c it to 900. Whats the best mobo for this? And i think ill pop for a stick of 128MB PC133

Intel Inside = Idiot Outside. P3s cost much much more than AMD CPUs and they are as a whole, slower. now if your talkin P4s thats another story hehe:D
