HELP! Bad CPU(XP 2400+) or bad mobo(Asus A7V8X)?

This is my first experience with Athlon. A few days ago I got refurb A7V8x and refurb XP 2400+. The CPU had some paste on it so I decided to reuse it. Here is the summary of what I did:

Powered up the first time, the system went automotically into BIOS, asked me to pick 1500, 2000, or 2500mhz. I picked 1500 mhz, the system worked about 20 more seconds, then died.

Powered up second time, the system went again into BIOS i picked again 1500mhz, the system died 5 seconds later.

Powered up third time, the BIOS screen came on, then died 2 seconds later.

Powered up fourth time, screen is blank, the fan on the CPU comes on for a second, then goes off, then comes on again, then goes of, etc. I turn off the power.

I take the system apart, apply Arctic silver to the CPU, and reset the CMOS.

Powered up again, screen is blank, all the fans are working, and green light comes on.

I hook up the speakers and hear two times "CPU not installed", after that I hear "System failed memory test" repeating itself over and over in a loop. I turn off the system and power it again and same thing happens- blank screen, fans working, except this time, it doesn't say "CPU not installed", it just loops "System failed memory test". I power it on again about 20 mins later, and blank screen, but again it mentions twice about "Cpu not installed", and loops "system failed memory test".

I have tested the memory on my friend's computer and it works ok. But I have no means of testing either the CPU or Mobo by itself. Should I RMA the CPU, MObo or both?

What memory is it? Can you possibly test the CPU in another mobo?

Also, I didn't know there were refurbed processors :confused:

Also, is the power supply sufficent for what you're running?

I don't have another board to try the cpu.
The memory is PC2700 512mb Micron.
Power supply is Okia 550W.
I was running video card(ti4200), a hard drive and 2 cd drives, nothing else.
