HELP! 1-Win protection Error, 2-Bios died, 3-new hardware not recognized

ARRGGHHHH!!!!! Sorry in advance for the long post...

Saturaday morning, my month old, no problems to date system died!!!

For starters here is the system info

Win 98SE
7 bay ATX Case w/300w AMD Approved P/S
MSI MS 6330 K7T Pro2-A KT-133 Socket-A ATX
AMD Duron 700 MHz w/Global Win FHP08 standard fan
Apacer - 256MB PC133 SDRAM
45Mb Maxtor ATA 100 7200RPM

Situation.

My wife went into my office and not realizing my system was on, downloading through Agent, but the monitor was in hibernation mode, turned my computer off. When she realized what was happening, and tried to turn it on again, she got a windows protection error on boot. Not the blue screen, but the black screen before windows completelly loads.

On reboot again, the computer shows Video Card problems and boots in 640x480 in 256 color mode. When I was building the system, I had this problem because of the supplied driver with the Rage Fury Pro and Win 98. I tried reloading the updated driver several times but continued with the same trouble... win protection errror, then reboot to low res load. I tried this several times and ways including deleting the files, reloading other drivers, but nothing helped. I was able to use ATI diagnostic utility and all of the tests of the card came back OK. I also tried to reinstall Win98SE but that didn't help either.

Last week I had updated the system to the newest BIOS from MSI for the K7T Pro2-A using WinFlash. As that was the last change to the system, I loaded winflash and attempted to go back to the old BIOS.

IN the middle of the loading of the BIOS something happened to stop the process and the computer halted and started to reboot. When reboot started, the system went almost immediatlly locks up and the system speaker starts rapid continiuos beeps. D/LED indicated that the system memory won't load. I belive the code was 0011, but that might be backwards. All of this happens before the drives are accessed so a boot disk to reflash BIOS is out. I did call United Micro and they are going to RMA the board for me.

The problem is that I still don't know what caused the original problem. If not the video card, where do I look. It feels like a windows problem, but I don't know what to do if reloading windows and the drivers doesn't work.

The other problem is on my old system that I pulled out of the closet to use till I get the new system back up. It is running WINme and for some reason it locks up when I try to load any drivers. Any ideas what could casue that. I have to load my Ethernet card and it locks every time. I tried to load another networking card (USB this time) and a scanner to see if it was the card, and had the same problems. I am wary to unload any driver currentlly in use as I am afraid I won't be able to reload it. Any suggestions on this.
