Because of a hot deal for the Tuniq I can get both around 45 bucks.

Equipment:
CM690 Tower
Gigabyte DS3L
4 X 1 GB ballistix DDR2 800
1 X somesort of IDE HD I guess
Caving in to getting E6750 can't find a freaking cheap E4500.
Evga 7900GT

Any kind of sizing issues? if I upgrade to 8800? I obviously want full access to all my RAM slots.

125$ from newegg shipped not good enough for E4500? E6750 is about $190 shipped. I'm in a similar position as you, I was thinking of saving the money to get E4500 at $125 and use the "saved" money on Thermalright Ultra 120 Extreme for 55$ and a yateloon D12SL-12 $5 both from SVC.com

I don't know enough about the motherboard to offer you guidance there...

There was a thread in Hot Deals on Micro Center having the E4500 for $109.99.

For the heatsink, the Tuniq is the better performer, but the Ninja can make for a quieter system and is decent especially if you add a Thermalright bolt-through kit to it.

Just FYI...
Cheaper than newegg, can get both the "best fan" and "best heatsink" at the same time. I've never had any problems with SVC.

I would say that's a better fan.

I have some of those Yate Loons...they have a bit more whine.
