btw, from pics and reviews of the tl-s, seems pretty nice, just not as much clout as a benz or bimmer

The C240 V6 is a weak 168 horses. My passat 4 cyl Turbo puts out 180 horses even though it is advertised at 170 and gets close to 30 MPG.

For the cash, I'd get a very lightly used Audi A6 w/ the 2.7 twin turbo w/ a 6 speed.

I test drove the C240 6spd last summer... I wasn't impressed with it at all... well, I guess it was just the engine... really weak- I was taking it up to about 5k rpm, and it didn't feel like it was pulling. If you want a 5spd, wait for the 2002 IS300... but right now, you can get away with a pretty fully loaded IS300 for $31.5k + fees off of carsdirect.com (at least in my area). I like the look of the new C class though- a baby S class, sort of how the IS looks like a baby GS. I don't know about headroom though... I'm 6' and didn't notice anything bad in the IS. Hope this helps.

I laugh when I see people spend that amount of cash on an underpowered car w/ handling characteristics that don't even come close to a BMW. So, what's the reason to buy it? The fact that it's a Mercedes?

I think your first choice is a smart one. You don't have the pretentious badge on the hood (Acura is still top notch, if you ask me), but you'll at least feel like you've got your money's worth.
