got ~$400 to spend on new mb, cpu, and mem. HELP!

Hey guys, I just bought a geforce3 ti200 and still got about $400-$450 to spend on a new motherboard, memory and a chip.....any suggestions? I'm thinking of going athlonxp but im not sure on what memory or motherboard to get yet. Thanks

Pick up a Stick of DDR333 of a Pricewatch site for about $50 for 128 MB
