I've had this problem before: svchost using 99% cpu upon connecting to the internet.
last time it got fixed by one or both of uninstalling ICQ & turning off ZoneAlarm auto update. Now it's happening again, and ICQ is still uninstalled and zonealarm is still not auto updating. The only thing that HAS changed is google toolbar. I'm pretty certain I set google toolbar to NOT autoupdate previously, but it has anyway and now I have popupblocker on it amongst other things (I say now; it only did it a week ago).
I'm pretty sure the google toolbar is causing 99% cpu hog for a couple of seconds every time I dial up (ISDN), long enough for it to be annoying. but not long enough for me just to outright remove the toolbar without trying to find an alternative which lets me keep it. i cant see any options related to autoupdate in the taskbar options - any ideas?
