I would go with this motherboard for that processor. It's fast, affordable and has ASUS's known stability.

Here is another option, in case you don't like the NForce 2 chipset. I just purchased one for the Sempron 2400 to upgrade my wife's PC from her old Duron 850 and Chaintech KT 133E board. Offers SATA raid, 6 USB 2.0 ports, rounded cables for floppy and IDE drives. Zero problems installing and setting up. Didn't have to reinstall Win2k (the main reason I went for another VIA chipset motherboard). Decent 6.1 onboard audio. A good motherboard for $52 delivered. My only complaint is that the Sempron seems to run a little hot, around 51 degrees C at idle. I am using the retail heatsink and thermal pad. If I was going to try to overclock it, I would probably remove the Heatsink and install it with thermal paste instead, maybe even try a different heatsink and fan. But since it is for my wife, and isn't used for games, I guess the temperature isn't that bad. It even runs okay with the old Antec 300 watt PSU that came in the Antec KS-282 case. Nothing wrong with the Shuttle AN35N, as that is what I run, with a T-Bred B XP1700 at 10x200. Either board should run great, the other advantage to the MSI is that you can upgrade the BIOS online in windows to get it to properly recognize the Sempron CPU. My original BIOS thought it was an XP2000, but MSI's live update fixed that.
